Why do electronic proxies require a proxy holder?
Even when voting electronically, if your community's package includes a proxy, you must name a Proxy Holder to ensure the document remains legally valid for quorum and voting purposes.
How GetQuorum Digitizes Your Package
GetQuorum does not create new legal documents; we simply digitize the exact package provided by your association.
-
Package Review: Your association’s board or solicitor determines which documents are required (e.g., a Limited Proxy, a Ballot, or both).
-
Identical Setup: If your paper package contains a proxy, we build an Electronic Proxy. If it contains a ballot, we build an Electronic Ballot.
-
Required Fields: Because we are digitizing a legal proxy form, the "Proxy Holder" field is mandatory. You are still voting for yourself via your "Limited" instructions, but you must name someone to carry those instructions into the meeting.
Important: Clients must review their governing documents with their legal counsel to confirm which voting documents are required. GetQuorum will digitize the specific forms you provide.
Common Questions & Troubleshooting
If I'm voting for myself, why am I filling out a proxy? "Limited Proxies" are often used as "absentee ballots" for substantive items like amendments or reserve funding. Although you are making the choices yourself, the format of the document is still a proxy, which requires a holder.
What happens if I don't name a Proxy Holder? The system will prompt you to provide one before you can submit. An "incomplete" proxy may not be legally valid or counted toward quorum.
